Service Agreement

This Service Agreement ("Agreement") governs the relationship between Nordwise ("Provider", "we", "us") and the individual or entity engaging our services ("Client", "you"). By submitting a service request, completing a payment, or using our website, you acknowledge that you have read, understood, and agree to be bound by this Agreement in its entirety.

1. Scope of Services

Nordwise provides financial consulting and business structuring services, including but not limited to:

  • External CFO advisory
  • LLC formation and registration
  • Tax residency change advisory

The specific scope, deliverables, and timeline for each engagement are defined in the proposal or service order accepted by the Client prior to payment. Unless expressly stated otherwise in writing by Nordwise, no content on our website constitutes a promise or guarantee of service.


2. Client Obligations

The Client agrees to:

  • Provide accurate, complete, and truthful information and documentation required for the service.
  • Respond to our requests for information within reasonable timeframes.
  • Keep Nordwise informed of their current contact information, including email address, phone number, and postal address. Nordwise's obligation to contact the Client for timely filings is contingent on the Client maintaining updated contact details.
  • Notify us promptly of any changes relevant to the service being rendered.

The Client guarantees the accuracy, completeness, and authenticity of all information and documentation provided. Nordwise prepares advisory, filings, and documents based solely on the information submitted by the Client and does not independently audit or verify its content. The Client assumes full responsibility for any consequences arising from inaccurate, incomplete, or misleading information provided to Nordwise.

Nordwise will not be liable for delays, errors, or failure to deliver services resulting from the Client's failure to fulfill these obligations. In such cases, no refund will be issued.


3. Payment Terms

  • All fees are due at the time of order or as specified in the service proposal.
  • The Client is personally liable for the agreed financial obligations to Nordwise. Payment in full is required prior to any work being initiated, unless a payment plan has been expressly agreed upon in writing.
  • Payments may be made via bank transfer, credit/debit card, or other methods made available by Nordwise.
  • We accept payments in USD and EUR. Cryptocurrency payments may be available upon request.
  • All prices are quoted in USD unless otherwise stated.
  • Payment confirms the Client's acceptance of this Agreement in full.

4. Delivery Policy

Nordwise provides professional services only. We do not sell, ship, or handle any physical goods. Returns are therefore not applicable.

The estimated timeline for completing each service will be communicated to the Client before purchase or engagement confirmation. Timelines are indicative and may vary depending on third-party processing times, government agencies, or the Client's responsiveness in providing required information and documentation.


5. Nature of Payments

All payments made to Nordwise are firm, final, and non-reversible. By completing a payment, the Client acknowledges that:

  • Services are personalized and begin immediately upon confirmation of the engagement.
  • Access to proprietary information, strategies, documentation, and advisory is provided from the moment the service begins.
  • The nature of the services makes partial or full refunds inappropriate once work has commenced.
  • Payment alone does not obligate Nordwise to deliver the service until the Client has submitted all required information and documentation.

6. Refund Policy

Nordwise operates under a no-refund policy for rendered services. The following applies:

  • Consulting calls: If a Client is unsatisfied with an advisory call, a refund request may be submitted within 7 calendar days of the call by emailing hugo@nordwise.net with their name, contact details, and date of the call. Refund approval is at Nordwise's sole discretion.
  • LLC formation, tax residency, and structured engagements: These services are non-refundable once initiated. The Client may cancel future renewal or continuation of the engagement with proper notice (see Section 7).
  • Undelivered services: If Nordwise is unable to deliver a service due to reasons solely attributable to Nordwise, the Client will be entitled to a full or partial credit at our discretion.

7. Cancellation Policy

Renewal Cancellation

Clients wishing to cancel the renewal or continuation of an ongoing engagement must notify Nordwise in writing at least 30 days before the end of the current service period. Written notice must be sent to hugo@nordwise.net including the Client's name, company name, and reason for cancellation.

Early Cancellation

Early termination of an active engagement may result in:

  • Immediate suspension of all pending processes, filings, and applications.
  • Forfeiture of all amounts paid to date.
  • Legal action to recover outstanding fees if a payment plan is in place.

Arrears and Non-Payment

If the Client is 30 or more days in arrears, Nordwise reserves the right to suspend all services, resign as registered agent (where applicable), and notify the relevant governmental authorities of such action.

Engagements on payment plans where no payment has been received for 60 consecutive days will be considered cancelled due to non-payment and subject to the early cancellation terms above.


8. Service Credits

In exceptional circumstances, and at Nordwise's sole discretion, we may offer the Client the option to apply the amount paid as a credit toward other Nordwise services within 180 days of the original payment date. This credit is not redeemable for cash and is not a contractual obligation.


9. Chargebacks and Payment Disputes

The Client agrees not to initiate chargebacks, payment disputes, or claims with payment processors, card issuers, banks, or any financial intermediary, unless they can demonstrate that Nordwise has failed entirely to initiate or render the contracted service due to causes exclusively attributable to Nordwise.

Unjustified chargebacks constitute a material breach of this Agreement and will entitle Nordwise to seek damages, including legal fees and recovery costs.


10. Electronic Authorization and Filing Submissions

For services involving government filings, company formations, or any submission to a Secretary of State or equivalent authority, the Client authorizes Nordwise to act on their behalf and, where required, to attest to the accuracy of the submitted information.

By engaging these services, the Client declares, under penalty of perjury, that:

  • All information submitted to governmental authorities is true, correct, and complete.
  • The submission is not made for any improper, fraudulent, or unlawful purpose.
  • The Client is duly authorized to request such filings.

The Client understands that submitting false, fraudulent, forged, or unauthorized information to any governmental authority may result in civil and/or criminal penalties, and agrees to indemnify Nordwise against any damages or claims arising from such conduct.


11. Provider's Right to Cancel

Nordwise reserves the right to unilaterally cancel any service engagement if the Client:

  • Provides false, misleading, or fraudulent information or documentation.
  • Engages in or requests services related to illegal or unlawful activity.
  • Misuses our services or acts contrary to applicable regulations.

In such cases, no refund will be issued and Nordwise may retain all amounts received as compensation for damages. Nordwise also reserves the right to decline any service request without being obligated to disclose its reasons.


12. Prohibited Uses

The Client may not use Nordwise's website or services to:

  • Submit false, incorrect, or fictitious information, whether as an individual or on behalf of a company.
  • Engage in industrial espionage or competitive intelligence gathering.
  • Transmit files containing viruses or any harmful code.
  • Violate any applicable law, whether international, national, or local.
  • Solicit services for purposes that are illegal, fraudulent, or harmful to third parties.
  • Infringe upon the intellectual property or reputation of Nordwise or any third party.

13. Intellectual Property

All content on Nordwise's websites — including but not limited to text, images, databases, branding, and materials — is the property of Nordwise and is protected by applicable copyright, trademark, and intellectual property laws. Unauthorized reproduction, redistribution, or use of any content is strictly prohibited without prior written consent from Nordwise.


14. Confidentiality

Both parties agree to treat as confidential all proprietary information, strategies, documents, and communications exchanged during the engagement. Neither party will disclose such information to third parties without prior written consent, except as required by law.


15. Indemnification

The Client agrees to indemnify and hold harmless Nordwise, its directors, representatives, employees, and partners from any claim, demand, loss, or expense — including reasonable legal fees — arising from:

  • The Client's activities in connection with the services.
  • Any breach of this Agreement by the Client.
  • Violations of any law or third-party rights by the Client.

16. Limitation of Liability

Nordwise's liability in connection with any service is limited to the amount paid by the Client for that specific service. We are not liable for indirect, incidental, or consequential damages arising from decisions made by the Client based on our advisory.

The information and materials provided by Nordwise are believed to be accurate at the time of delivery but cannot be guaranteed in their application to any particular individual or situation. Tax, legal, and structuring matters are technical in nature and subject to frequent regulatory changes. When implementing any tax, business, or structuring plan, the Client is responsible for seeking qualified professional guidance for the specific details of implementation.

Our advisory does not constitute legal advice. Clients are encouraged to consult qualified legal counsel for matters requiring formal legal opinions.


17. Governing Law

This Agreement is governed by the applicable laws of the jurisdiction in which services are rendered. Any disputes arising from this Agreement shall be resolved through good-faith negotiation between the parties before pursuing legal action.


18. Modifications

Nordwise reserves the right to modify, add, or remove any part of this Agreement at any time. Changes will be communicated to the Client by updating this page with the revised date. The Client has 5 business days from the date of publication to reject any changes by notifying Nordwise in writing. After that period, continued use of our services will constitute acceptance of the updated Agreement.
